The rules for using this site and working with PAE
Payment Authorization Expertise (“PAE”) is a specialist payment authorization consultancy. These terms explain how this public website may be used and summarise the baseline conditions that govern paid consulting engagements. Individual proposals or statements of work may add more detail—those documents control where they differ from this summary.
Use of this site
Content on this site is provided for general information only and does not constitute legal, financial, regulatory, or technical advice. You should not act on the information on this site without seeking appropriate professional advice.
By using this site, you agree that you will not:
- Misuse the site or attempt to disrupt its operation.
- Attempt unauthorised access to any part of the site or to any related systems.
- Copy or redistribute site materials except as permitted by law or with appropriate attribution.
Consulting engagements
- Services are described in a mutually agreed proposal, letter of engagement, or statement of work (each an “SOW”).
- Those documents set out the scope, deliverables, timelines, and commercial terms for the relevant engagement.
- Where there is any inconsistency between an SOW and these website terms, the SOW will prevail for that engagement.
- Deliverables are tailored for the specific client and, unless agreed otherwise, are for internal use only.
- PAE may reference the existence of an engagement only with the client’s prior consent and subject to agreed confidentiality restrictions.
Client responsibilities
- Provide timely access to relevant information, systems, documentation, and subject matter experts.
- Ensure any data shared with PAE has been lawfully collected and sharing complies with your obligations.
- Designate a primary point of contact who can coordinate internally and make or escalate decisions.
Fees and invoicing
- Fees are invoiced per the schedule or milestones in the applicable SOW.
- Invoices are payable within 30 days of the invoice date by bank transfer or another agreed method.
- Pre-approved travel or out-of-pocket expenses are billed at cost and itemised.
- PAE may charge interest on overdue amounts and/or pause work where invoices remain unpaid beyond agreed terms.
Confidentiality
Both PAE and its clients agree to keep each other’s confidential information secret and to use it only for the purposes of the engagement. Confidential information does not include information that is public, already known, received lawfully from a third party, or independently developed. Obligations continue after the engagement for so long as the information remains confidential.
Intellectual property
Pre-existing PAE tools, frameworks, methodologies, and know-how remain PAE property. Unless otherwise stated in the SOW, clients receive a non-exclusive, non-transferable licence to use deliverables internally. Client materials remain the client’s property; custom content based solely on those materials belongs to the client, without prejudice to PAE’s rights in its pre-existing assets.
Disclaimers and limitation of liability
PAE provides strategic and technical advice, but clients remain responsible for implementation decisions and compliance with scheme rules, regulations, and internal policies. The website and its content are provided “as is” and “as available,” without warranties. To the fullest extent permitted by law, PAE’s total aggregate liability arising from any engagement is limited to the fees actually paid in the preceding six months, and PAE is not liable for indirect, consequential, special, punitive, or loss-of-profit damages. Nothing limits liability that cannot be limited under applicable law.
Governing law and disputes
These terms, and any dispute arising out of them (including non-contractual obligations), are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. The parties will first attempt to resolve disputes informally; failing that, disputes may be brought before the courts of Dubai, United Arab Emirates, which have exclusive jurisdiction subject to mandatory law.
Changes to these terms
We may update these terms from time to time. Material changes will be signalled by updating the effective date above. Continued use of the site or ongoing engagement after changes take effect constitutes acceptance.
